Acceptance of Terms
By accessing or using the services provided by Praeta Consult ("we," "our," or "the Company"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services. Continued use of our platform following any modification to these Terms constitutes your acceptance of such changes.
Description of Services
Praeta Consult provides corporate secretarial, business registration, compliance, bookkeeping, and related advisory services for companies operating in or seeking to establish operations in Rwanda. Our services include but are not limited to:
- Company formation and RDB registration
- Tax compliance and RRA filings support
- Bookkeeping and financial statement preparation
- Investment certificate facilitation
- Nominee director and registered address services
- Work permit facilitation for foreign nationals
The specific scope of each engagement is governed by the applicable service agreement or statement of work entered into between you and Praeta Consult.
User Obligations
By using our services, you agree to:
- Provide accurate, current, and complete information when requested.
- Maintain the confidentiality of your account credentials and notify us immediately of any unauthorized access.
- Comply with all applicable Rwandan laws and regulations in connection with your use of our services.
- Not misrepresent your identity, business activities, or the purpose of any registration or application submitted through our platform.
- Not use our services for any unlawful, fraudulent, or deceptive purpose.
Fees and Payment
Our service fees are as set out in our pricing schedule, which may be updated from time to time with reasonable notice. All fees are quoted in USD and are subject to applicable taxes unless stated otherwise.
Payment terms are specified in your service agreement. We reserve the right to suspend services for accounts with outstanding balances. Refund eligibility is assessed on a case-by-case basis and is subject to the terms of each specific service engagement.
Confidentiality
We treat all client information as strictly confidential. We will not disclose your business information to third parties except as necessary to provide the services you have engaged us for, as required by applicable law, or as set out in our Privacy Policy.
You agree to keep confidential any proprietary information, methodologies, pricing, or tools shared by Praeta Consult in the course of service delivery. This obligation survives termination of your engagement with us.
Intellectual Property
All content, materials, platform features, and proprietary tools made available through our services remain the intellectual property of Praeta Consult or its licensors unless explicitly transferred by written agreement.
You are granted a limited, non-exclusive, non-transferable license to use deliverables provided to you solely for your internal business purposes. You may not reproduce, distribute, or create derivative works from our materials without prior written consent.
Limitation of Liability
To the maximum extent permitted by applicable law, Praeta Consult shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use our services.
Our total aggregate liability for any claim arising out of or related to our services shall not exceed the fees paid by you for the specific service giving rise to the claim in the three months preceding the event giving rise to liability.
We do not guarantee specific outcomes from government registration processes, investment certificate approvals, or similar regulatory procedures, as these are subject to applicable laws and the discretion of the relevant authorities.
Indemnification
You agree to indemnify, defend, and hold harmless Praeta Consult and its officers, directors, employees, agents, and partners from and against any claims, liabilities, damages, losses, and expenses — including reasonable legal fees — arising out of or in connection with:
- Your breach of these Terms of Service.
- Your misuse of our platform or services.
- Your violation of any applicable law or the rights of any third party.
- Any inaccurate or misleading information you provide to us.
Service Modifications and Termination
We reserve the right to modify, suspend, or discontinue any service or feature with reasonable prior notice. We will make reasonable efforts to communicate material changes through your registered email or platform notifications.
Either party may terminate a service engagement upon written notice as specified in the applicable service agreement. Upon termination, you remain responsible for all fees incurred up to the termination date. Sections relating to confidentiality, intellectual property, limitation of liability, and indemnification survive termination.
Governing Law and Dispute Resolution
These Terms of Service shall be governed by and construed in accordance with the laws of the Republic of Rwanda, without regard to its conflict of law provisions.
Any dispute arising from or relating to these Terms or our services shall first be subject to good-faith negotiation between the parties. If the dispute cannot be resolved within thirty (30) days, it shall be submitted to the competent courts of Kigali, Rwanda, and both parties consent to the exclusive jurisdiction of such courts.
